These terms apply to anyone who signs up for a MarquesOS free trial, or who subscribes to a paid MarquesOS plan ("the Service"), whether hosted by us or run on your own infrastructure under a self-hosted licence. "You" means the organisation on whose behalf the account was created; "we", "us" and "our" means the operator of MarquesOS.
Each trial runs for 14 days from activation. We may extend a trial at our discretion. At the end of the trial, access is suspended until you convert to a paid subscription; your data is retained for a reasonable period after trial expiry to allow conversion, after which it may be deleted. No payment card is required to start a trial, and no charge is made unless you actively convert to a paid plan.
Paid plans are billed monthly as standard; annual billing is available at a discount on request. Prices shown exclude VAT or your local equivalent sales tax, which is added at checkout based on your billing address. Payment may be arranged by Direct Debit, or by invoice against a purchase order/sales order (PO/SO) for organisations that require it. Fees are non-refundable except where required by law or expressly agreed by us in writing. We may change our prices with at least 30 days' notice before your next renewal.
You are responsible for the accuracy of the data you enter into the Service, for keeping your account credentials secure, and for ensuring your users comply with these terms. You must not use the Service to store or process unlawful content, or attempt to circumvent its security or licensing controls.
You retain all rights to the data you upload or create within the Service ("Customer Data"). We process Customer Data solely to provide the Service to you, in accordance with our Privacy Policy and applicable data protection law (including UK GDPR where applicable). On termination, you may export your Customer Data for a reasonable period before it is deleted from our systems.
We retain all rights, title and interest in the MarquesOS software, platform and branding. Nothing in these terms transfers any such rights to you. You retain all rights in your own Customer Data and any content you own that you provide to us.
The Service is provided "as is" and we make no warranty that it will be uninterrupted, error-free, or fit for any particular purpose beyond what is expressly agreed in writing. We will use reasonable skill and care in providing the Service, in line with good industry practice.
To the fullest extent permitted by law: our total aggregate liability to you arising out of or in connection with these terms or the Service, whether in contract, tort (including negligence) or otherwise, is limited to the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim. We are not liable for any indirect, special, incidental or consequential loss, or for any loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such loss.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Either party may terminate a paid subscription in accordance with the agreed notice period on your order, or immediately if the other party materially breaches these terms and fails to remedy that breach within 14 days of being asked to do so. We may suspend access immediately for non-payment, after reasonable notice.
We may update these terms from time to time. We will give you reasonable notice of material changes before they take effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated terms.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, unless mandatory local consumer protection law says otherwise.
